1. About These Terms
These Terms and Conditions ("Terms") govern your use of the Theatre Sync platform ("Service"), operated by AI Regenesis Ltd ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Service.
2. Service Description
Theatre Sync is a UK theatre market intelligence and scheduling conflict detection platform. The Service provides:
- Scheduling conflict detection between theatre venues
- Competitor programming analysis and market intelligence
- Genre analysis, seasonal reporting, and regional insights
- Production pipeline management and planning tools
- Data exploration and export capabilities
3. Account Responsibility
When you create an account, you are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us promptly of any unauthorised use of your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree to use the Service only for its intended purpose. You must not:
- Attempt to gain unauthorised access to the Service or its systems
- Use the Service to collect data for purposes other than theatre programming and market intelligence
- Redistribute, resell, or sublicense access to the Service without our written consent
- Use automated tools to scrape or extract data from the Service (beyond normal platform use)
- Upload malicious content or attempt to disrupt the Service
5. Intellectual Property
All content, features, and functionality of the Service — including the software, design, text, graphics, and logos — are owned by AI Regenesis Ltd and are protected by UK and international intellectual property laws.
Data you input into the Service (such as your production rota and pipeline entries) remains yours. You grant us a licence to store and process this data solely to provide the Service.
6. Market Data Disclaimer
The market intelligence, conflict detection results, and analytical data provided by the Service are offered on an "as-is" basis. While we strive for accuracy:
- Venue schedules and touring data are sourced from publicly available information and may not always be up to date
- Conflict risk scores are algorithmically generated and should be used as one factor among many in booking decisions
- We do not guarantee the completeness or accuracy of third-party venue data
- Booking decisions remain the sole responsibility of the user
7. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, consequential, or special damages arising from your use of the Service
- We are not liable for losses resulting from booking decisions made using the Service's data or recommendations
- Our total liability for any claim arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
8. Service Availability
We aim to keep the Service available at all times but do not guarantee uninterrupted access. We may suspend the Service temporarily for maintenance, updates, or circumstances beyond our control.
9. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, with or without notice.
On termination, your right to use the Service ceases immediately. We will retain your data in accordance with our Privacy Policy.
10. Changes to These Terms
We may update these Terms from time to time. We will notify registered users of material changes by email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
